Volunteer Lawyer Project benefiting several Nonprofit Organizations
Kevin provides legal counsel to hospitals, health systems, clinically integrated provider networks, collaborative joint ventures, physician practices, and many other participants in the health care sector. Kevin focuses his practice primarily in the areas of transactional and corporate law, federal tax exemption, regulatory compliance, and licensure.
Kevin represents several collaborative ventures involving major independent health care systems as they strategically position themselves in today’s health care environment through clinical integration, performance-based reimbursement programs, and other collaborative projects. He is also experienced in many types of clinical and non-clinical service arrangements, including IT, revenue cycle, supply chain and group purchasing. Kevin counsels clients on the application of health care fraud and abuse laws to their operations and transactions, and regularly advises clients on corporate governance issues. Kevin has extensive experience working with nonprofit organizations on their federal tax exemption obligations and has represented many types of health care providers in front of the IRS, which he has carried over into his pro bono work for community organizations seeking to obtain and maintain tax exempt status.
Recent Representative Matters
Counsel to two separate collaborative ventures each involving four or more major independent health care systems engaging in clinical integration, value-based care models and other collaborative projects. Drafted governing and operating documents, ongoing advice on tax exemption issues and value-based reimbursement programs under the Affordable Care Act.
Drafted and negotiated various service agreements, including revenue cycle, supply chain, group purchasing and information technology for both vendors and customers
Drafted transaction documents, including Purchase Agreement and Lease & Transfer Agreement, for several large hospital acquisitions. Handled all federal and state regulatory filings and required notifications for a hospital change of ownership
Counseled two tax exempt cooperative hospital service organizations and several tax exempt hospitals through implementation of a corporate compliance program
Conducted legal audit of medical device manufacturer with regard to compliance with FDA regulations
Counseled several nonprofit hospitals on formation and obtained expedited review and approval of application for tax-exempt status
Handled acquisitions of four separate physician group practices on behalf of several nonprofit hospital clients
Counseled clients using tax-exempt bond issues to finance capital projects
Represented client on acquisition of hospital outpatient department and formation of ASC, including all transaction documents and fraud and abuse compliance
